Elisabeta Boiciuc (Matei)
Elisabeta Matei has over 20 years of legal expertise, acquired as attorney at law within law firms and in capacity as in-house legal advisor for groups of companies.
Elisabeta Matei is recognized for having gained notable expertise in Company Law and Commercial, Mergers and Acquisitions, Real Estate and Employment.
Elisabeta Matei has been a partner of Dima & Asociatii ever since its registration, for six years, during which she was involved and coordinated various projects in the field of mergers and acquisitions, companies law and others.
Elisabeta Matei held the position of Legal Manager within the associated law firm of a multinational audit and consultancy company situated among the first four on a global level. She consequently enjoyed the opportunity to be involved in significant projects, being able to respond to sophisticated clients’ requirements and to provide complex structures and multi-disciplinary solutions integrated with legal, tax and financial services. She worked in mixed teams of attorneys and business consultants from Romania and abroad.
Elisabeta Matei held also the position of internal legal advisors for groups of companies acting in various economic fields of activity, thus having the opportunity to develop her legal expertise depending on the internal needs of each company and understood their expectations as clients of law firms.
Elisabeta Matei’s practice includes advising clients and coordinated teams in various and complex projects in Corporate law, from elaborating complex shareholders’ and directors’ structures, various share capital matters, to full legal due diligence reviews of many types of companies operating in various fields, for internal purposes or in the context of different transactions, assuring full legal support on mergers and acquisitions, spin-offs, dissolution of companies. Elisabeta Matei coordinated also significant commercial projects.
Her real estate expertise consists of assuring legal support and coordination in projects having as object the evaluation of target properties and during the negotiation of pre-contracts, sale purchase agreements and other real estate agreements.
Elisabeta Matei has extensive experience in the area of labour law, she advised in transfer of undertaking, negotiation with unions and conclusion of collective bargaining agreements, collective and individual lay- offs. She advised and issued legal opinions with respect to various employment aspects.
Relevant projects
Coordination, in the period between 2006 – 2010, of several major due diligence projects, at the request of potential Romanian or foreign investors, large companies or investment funds, in view of acquisition of Romanian companies operating in various fields (IT, paper production, furniture, textiles, refractory materials, aluminium profiles, plastics, metallurgy, naval works, distribution of food and clothing, retail, clinical studies, factoring etc.), granting legal assistance for the negotiation of the relevant transactions and even post-transaction support.
Coordination of several merger, spin-off and dissolution projects for companies, ensuring assistance with respect to the legal implications of such complex operations.
Coordination of projects in the real estate field which have had as object both the full analysis of the legal status of properties located in Bucharest and across the country (from agricultural plots of land, buildable plots of land, buildings, commercial premises, residential projects etc.) as well as assistance during the negotiation and completion of the real estate acquisitions.
Education:
Elisabeta graduated the Faculty Law of „Petre Andre” University Iasi in 2000, obtaining LLB at „Alexandru Ioan Cuza” University Iasi.
Elisabeta attended various courses and seminars, in Romania or abroad, in the fields of international commercial relations, business law, mergers and acquisitions, real estate, employment law, human resources, taxation.
Elisabeta is member of Bucharest Bar since 2006.
